Terms of Service Effective date: 08 November 2025 — Last reviewed: 08 November 2025 These Terms of Service ("Terms") govern the relationship between A K SERVICES ("Provider") and its business customers ("Customer") who use Provider's platform, APIs, notification and transaction services. By using our services, you agree to these Terms. 1. Services and onboarding Provider offers B2B services including API access, OTP and notification delivery, transaction processing and integration support. Onboarding steps, access credentials and API keys are provided after execution of any required commercial agreement and verified identity checks. Domestic-only services: The services provided under these Terms are intended for use within India only. Customers must not use the Provider's services to process or facilitate international transactions. Provider does not accept liability for customer use that intentionally attempts to route payments or communications across international borders. 2. Customer obligations Customers must provide accurate business and contact information and keep credentials secure. Customers are responsible for compliance with laws applicable to their use of the services (e.g., consent for messages to end-users, data privacy obligations). Customers must not use services for illegal, abusive or fraudulent activities. 3. Fees and payment Fees are set out in the applicable order form or invoice. Unless otherwise agreed, invoices are due within 30 days. Late payments may incur interest or service suspension. Provider may change fees on 30 days' notice for new services. 4. Service levels Provider aims to maintain a high level of availability (target: 99.5% uptime) and provides incident response and support in accordance with the agreed support tier. Credits or remedies for outages are specified in the commercial agreement. 5. Data, confidentiality and security Provider processes customer data to deliver services and will treat such data as confidential. Provider implements reasonable security measures (encryption in transit, access controls, logging). Customers are responsible for their data inputs and for instructing Provider on any special handling requirements. 6. Intellectual property Provider retains all rights, title and interest in its platform, APIs and software. Customers retain rights to their own data. Provider grants a limited, non-exclusive right to use the services during the subscription term. 7. Liability and indemnity To the maximum extent permitted by law, Provider's aggregate liability for direct damages arising from the services is limited to the fees paid by Customer to Provider in the prior 12 months. Provider is not liable for indirect, special or consequential damages. Customers indemnify Provider against third-party claims arising from Customer's misuse of the services. 8. Termination Either party may terminate for material breach if the breach is not remedied within 30 days of written notice. On termination, Customer's access will be disabled; Provider will retain data as required by law and commercial agreement. 9. Compliance and export controls Customers must comply with applicable export controls and sanctions laws. Provider may suspend services if required by law or sanction regimes. 10. Governing law and dispute resolution These Terms are governed by the laws of India. Disputes will be subject to the exclusive jurisdiction of the courts in Lucknow, Uttar Pradesh, unless otherwise agreed in writing.
